Jonathan Hyndman, Partner at Rosling King LLP<\/a>, discusses the key legal issues that parties to a construction contract must consider when negotiating the provisions\u00a0of deleterious materials<\/h2>\n

The inclusion of deleterious or prohibited material\u00a0clauses in both building contracts and professional appointment documents is widespread within the construction industry. Whilst the form of\u00a0these\u00a0clauses\u00a0will\u00a0vary from\u00a0contract to contract, their common\u00a0purpose\u00a0is\u00a0to\u00a0prohibit\u00a0the use of unsuitable or dangerous\u00a0materials in construction projects.<\/p>\n

Deleterious materials\u00a0are\u00a0those materials which are capable of causing\u00a0damage\u00a0or harm to the individual,\u00a0the environment\u00a0or to buildings and infrastructure.\u00a0Whilst\u00a0some\u00a0legislative prohibitions\u00a0are in place\u00a0to\u00a0limit\u00a0or prevent\u00a0the use of\u00a0known\u00a0hazardous materials, it is\u00a0inevitable that\u00a0further legislation will need to be enacted as new deleterious materials\u00a0are discovered. Sometimes, at the point in\u00a0time\u00a0when the materials\u00a0are used, they\u00a0are not known to be damaging and it is only later that the harmful effects of their use become known, like the fatal\u00a0use of asbestos <\/a>in\u00a0building projects\u00a0or the use of\u00a0polyethylene cores\u00a0in cladding <\/a>products.<\/p>\n

However, a material\u00a0does not in itself have to be\u00a0deleterious to warrant its prohibition\u00a0in\u00a0a\u00a0project.\u00a0Often concerns over\u00a0a material\u2019s\u00a0sustainability or\u00a0reliability may\u00a0also\u00a0factor into the decision to exclude its use\u00a0in a particular project.<\/p>\n

It is important therefore, that both developers and consultants and contractors consider the specific circumstances of the individual project when negotiating\u00a0the\u00a0scope of the obligation not to specify or use\u00a0prohibited materials.<\/p>\n

There are a number of key legal issues\u00a0that parties to a construction contract must consider\u00a0when negotiating\u00a0provisions as to\u00a0deleterious materials.<\/p>\n

The first important point to consider is the extent of the definition of prohibited materials in the construction contract. There\u00a0is no standardised industry form and\u00a0the contracting\u00a0parties\u00a0are free to\u00a0define the scope as broadly or as narrowly as they see fit having due\u00a0regard to the\u00a0nature and circumstances of the\u00a0project.<\/p>\n

Options include\u00a0defining\u00a0prohibited materials by reference to\u00a0a detailed list,\u00a0to specific official standards or by reference to\u00a0independent publications on the selection and use of materials, the most prevalent being\u00a0the\u00a0\u201cGood Practice in the\u00a0Selection of Construction Materials<\/a>\u201d, or a combination of the two. Each of the above will usually be supplemented by an express general obligation to exercise an appropriate standard of care not to specify for use, or use,\u00a0materials which are generally suspected within the construction industry as being deleterious at either the time the material is specified and\/or the time the material is used.<\/p>\n

The extent of the obligation is a common point of contention between the parties \u2013 the issue here is\u00a0whether the obligation on the contractor or the consultant not to specify or use deleterious materials should be\u00a0an absolute obligation\u00a0or whether the obligation should be caveated by the contractor or consultant exercising reasonable skill and care. Whilst\u00a0developers will prefer an absolute obligation,\u00a0this\u00a0is invariably\u00a0resisted by contractors and consultants\u00a0whose professional indemnity insurance\u00a0may not provide cover in circumstances where the contractor or consultant is found to be in breach of such an absolute obligation.<\/p>\n

The second important issue parties must consider is the point in time as to when a material is deemed to be deleterious. Parties will\u00a0inevitably differ in opinion on whether\u00a0the relevant time as to when a material is deemed deleterious extends to both the circumstances at the time the material was specified and the circumstances at the time the material was used in the project. Whilst contractors, who are the party actually using the materials, should be prepared to the relevant time as being the time of use, consultants will be concerned that a significant amount of time can pass between the specification of a material and that material’s actual use in the project.<\/p>\n

Again, developers will prefer that the trigger point as to when a material becomes deleterious extends to the point in time when the materials are actually; whilst contractors should be prepared to accept this, consultants particularly those with no ongoing monitoring responsibility, should be very reluctant to agree.<\/p>\n
